These are the terms under which BIZCIRCLE TECHNOLOGIES LTD ("Sarthy", "we", "us") provides the Sarthy software and the sarthy.io website to you ("Customer", "you"). By installing Sarthy or using sarthy.io, you agree to these terms.
Sarthy is software you install on your own infrastructure. We provide:
You provide the infrastructure, the LLM provider keys, and the team using the product.
Two plans:
Current pricing is published on the pricing page. We may change pricing for new subscriptions at any time; existing subscriptions are honoured at their current rate until the next renewal.
Design partner pilot pricing is offered on a case-by-case basis to early customers in exchange for product feedback. Pilot pricing is governed by a separate written agreement.
Payments are processed by Stripe (UK customers) or Razorpay (India customers). We don't store card numbers. Invoices are issued on each billing cycle. Failed payments suspend production licence keys but preserve your data; resuming payment restores access.

We grant you a non-exclusive, non-transferable, revocable licence to use the Sarthy software within the limits of your active plan. You may install Sarthy on as many servers as you need for your own organisation. You may not:
The software is provided "as is" without warranty of merchantability or fitness for a particular purpose.
Sarthy is self-hosted. Your knowledge base, user data, audit log, and all other content live on your infrastructure. We do not have access. You are the data controller for content inside your Sarthy install. We are the data controller for sarthy.io enquiry and account data; see privacy policy.
To the maximum extent permitted by law, our total liability under these terms is limited to the amount you have paid us in the 12 months preceding the claim. We are not liable for indirect or consequential losses, including lost profits, lost data on your systems, or business interruption.
Nothing in these terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under UK law.
You may cancel your subscription at any time from the admin panel. Cancellation takes effect at the end of your current billing period. Your data remains on your infrastructure (it never leaves anyway); you may continue running Sarthy under the Solo plan limits, or remove it entirely.
We may terminate your subscription with 30 days notice (or immediately for material breach), with pro-rated refund of unused fees.
These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer protection law gives you the right to bring proceedings in your local courts.
We'll update the "last updated" date when these terms change. Material changes will be communicated by email to active customers at least 30 days before they take effect.
